By using the website and services provided by Lenditt Innovations and Technologies Private Limited ("We", "Our", “Lenditt” or "Us"), including APIs, websites, software, or other related services and the platform Trueshield.ai, you ("User" or "Vendor") acknowledge that you have read, understood, and expressly agreed to be bound by the following Terms of Use (“Terms”). These Terms must be read in conjunction with all other policies of Lenditt, including the Privacy Policy, and all definitions used but not defined herein shall have such meanings as have been ascribed to them in the other policies. For clarity, the platform “Trueshield.AI” is fully owned, managed, operated, and maintained by Lenditt Innovations and Technologies Private Limited.

The domain name Trueshield.AI, along with all related services, is owned, developed, operated, and maintained by Lenditt Innovations and Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office located at Times Corporate Park, Thaltej, Ahmedabad, Gujarat - 380059.

Your access to the Website and use of its services constitute a legally binding agreement between you and Lenditt. If you transact, engage in, or use any feature of the Website, you shall be subject to the policies and terms applicable to such services. By using the Website, you enter into a contractual relationship with Lenditt for the services provided.

We reserve the right, at our sole discretion, to modify, add, or remove portions of these Terms of Use at any time, without prior notice. It is your responsibility to review these Terms of Use for updates or modifications periodically. Your continued use of the Website after any changes have been posted will constitute your acceptance of those changes. As long as you comply with these Terms of Use, we grant you a personal, non-exclusive, non-transferable, limited privilege to access and use the Website.

By accessing, browsing, or using the Website, you indicate your acceptance to be bound by all terms and conditions set forth in these Terms of Use. Please read the Terms of Use carefully before proceeding. By expressly or implicitly accepting these Terms of Use, you also agree to abide by the Privacy Policy as outlined in the terms and conditions of Lenditt.

1. Eligibility to Avail Service

Use of the Services is available only to persons who are capable of forming legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, undischarged insolvents, etc., are not eligible to use the Website. If you are accessing the Services on behalf of a business or entity, you represent that you have authority to bind such entity to these Terms. The Services provided herein are not available to any users previously barred by Lenditt from using or accessing the Service.

If you are a minor (i.e., under the age of 18 years), you shall not register as a User of the Website and shall not transact on or use the Website. If, as a minor, you wish to use or transact on this Website, such use or transaction may be made by your legal guardian or parents on your behalf.

Lenditt reserves the right to refuse access to the Website if it is brought to our attention or discovered that you are under 18 years of age.

2. Service Description & Acceptable Use

  • Service Nature: Trueshield.ai provides AI-driven document intelligence solutions, including document verification, OCR processing, fraud detection, automation tools, and related analytical services (Services). The features, accuracy levels, and performance of the Services may vary based on your selected plan, integration method, and data quality.

  • Acceptable Use: You agree not to engage in any activity that interferes with, misuses, or harms the Service. This includes, without limitation, the following:

  • Uploading, transmitting, or submitting harmful, malicious, or illegal content;

  • Violating or infringing the intellectual property rights or privacy rights of any third party;

  • Using the Services for identity theft, fraud, impersonation, or any unlawful purpose;

  • Attempting to circumvent security measures, probe or test vulnerabilities, or disrupt the integrity of the system;

  • Using automated scripts, bots, or other methods to overload, interfere with, or attack the platform;

  • Reselling, sublicensing, or otherwise distributing the Services without Trueshield.AI’s express written consent.

  • API Usage: API access may be governed by rate limits, quotas, usage thresholds, or other technical restrictions defined in your plan. We may throttle, restrict, suspend, or terminate API access in cases of misuse, abuse, security concerns, or violation of these Terms.

3. Service Usage

The User agrees to use Lenditt Services for document analysis, data verification, data retrieval, and other similar services via OCR and APIs. By submitting documents via our APIs, the User consents to Lenditt extracting text and data from those documents using third-party or in-house machine learning models. Users further agree not to misuse the services, attempt unauthorised access, disrupt service operations, or use the Website for any unlawful activity.

For avoidance of doubt, the User shall not misuse the Website or its services, interfere with the system integrity, attempt to bypass security controls, reverse-engineer any component of the Website or its APIs, or use the Website for unlawful, malicious, or fraudulent activities. Any violation may result in suspension or termination of access.

4. Data Security and Storage

You retain ownership of all User Data submitted to the Services. You grant us a limited right to process, store, and analyse User Data solely for: (a) providing the Services, (b) maintaining and improving functionality, (c) ensuring system security and fraud prevention.

Lenditt does not store users' sensitive personal information. Any non-sensitive data stored will be encrypted for a maximum of 45 days.

We take reasonable precautions to safeguard the data provided. We implement commercially reasonable technical and organisational measures.

However, you are responsible for maintaining password security and preventing unauthorised access. While we cannot guarantee 100% security for data transmission over the internet, we will take all necessary precautions to ensure that the transmission is secure on our end. However, Users are responsible for ensuring the security of their own networks, systems, and devices while accessing or transmitting data to the Website.

Users shall be responsible for ensuring the security of their own systems, servers, and devices used to access the Website. Lenditt shall not be liable for breaches or leaks arising out of vulnerabilities within the User’s infrastructure.

5. Data Usage

Lenditt will not sell or share any personal information obtained through OCR with third parties, except as required by law or as described in these terms.

Unless you opt out, permitted, anonymised and aggregated User Data may be used for
(a) improving AI/ML models;
(b) enhancing service accuracy and performance;
(c) creating datasets that do not identify you or any individual.

We do not use identifiable personal data for model training without consent. No personal identifiers shall be included in such aggregated datasets.

User acknowledges that Lenditt may store IP addresses for API requests in order to track the document-sharing process and to identify the origin of the request (either from a vendor or a user). Certain metadata, such as timestamps, request volume, usage logs, and system performance metrics, may also be retained for audit, monitoring, and fraud-prevention purposes.

User further acknowledges and agrees that anonymised and aggregated data may be used by Lenditt for analytical purposes, service improvement, monitoring performance, system troubleshooting, fraud prevention, and internal optimisation.

6. Consent for Document Sharing

By submitting documents to Lenditt, User confirm that User has obtained all necessary consents from the relevant parties (such as vendors, users, or customers) to share the documents with Lenditt for OCR and analysis purposes. This consent must be provided in the form prescribed for every API request. Moreover, Lenditt will not be liable for any dispute arising from the User’s negligence in obtaining prior consent from the relevant parties. User shall indemnify Lenditt for any claims arising from unauthorised document submission.

7. Responsibility for Data Leaks

While Lenditt takes precautions to protect the data provided, Users agree that Lenditt is not responsible for any data leaks or breaches that occur on the vendor's or user's servers, or during the process of document sharing via APIs. Lenditt shall also not be responsible for breaches resulting from insecure networks, compromised user credentials, or insufficient security measures implemented by the User.

8. Legal Co-operation

In the event that a government entity requests access to data due to legal concerns raised by a user, Lenditt will cooperate and provide the requested information as required by law. Users acknowledge that Lenditt may retain relevant logs or data for compliance purposes when required by law.

9. Disclaimer of Warranties and Liability

This Website, along with all materials, products (including but not limited to software), and services made available to you through this site, is provided on an "as is" and "as available" basis without any representations or warranties, whether express or implied, except as otherwise specified in writing. Without limiting the foregoing, Lenditt does not warrant that:

This Website will be continuously available, or available at all; or

The information on this Website is complete, accurate, true, or non-misleading.

Lenditt will not be liable to you in any way, or in relation to the contents of, use of, or otherwise in connection with the Website. Lenditt does not warrant that this Website, its information, content, materials, products (including software), or services included on or otherwise made available to you through the Website, or the servers hosting them, or any electronic communications sent by us, are free of viruses or other harmful components. User agrees that Lenditt shall not be responsible for any loss of data, business interruption, or technical issues arising from the use of third-party systems, networks, or devices.

We disclaim all warranties, express or implied, including merchantability, fitness for purpose, accuracy, or non-infringement. We do not guarantee the correctness or completeness of outputs generated by the system.

10. Intellectual Property Rights

All intellectual property rights, including but not limited to trademarks, copyrights, and patents, for the content, materials, and services provided on this website are owned by Lenditt or its assignees, its licensors and any such person who is duly authorised in writing by Lenditt. By using this website, you are granted a limited, revocable, non-exclusive, non-transferable license to access and use the services solely in accordance with these Terms. You shall not reproduce, distribute, modify, or create derivative works of the Services; reverse-engineer, decompile, or disassemble the Services; attempt to access the underlying models, datasets, or system logic; remove, alter, or obscure any proprietary notices; or use the Services for unlawful or fraudulent purposes from the materials without prior written consent. All rights not expressly granted to the User remain the exclusive property of Lenditt.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the fees paid by you in the preceding 3 months. We are not liable for indirect, incidental, punitive, special, or consequential damages. We are not liable for loss of profits, data, reputation, or business opportunities.

12. Applicable Law

These Terms and Conditions are governed by and construed in accordance with the laws of Ahmedabad, Gujarat, India. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat. Users agree that they shall not initiate proceedings in any other jurisdiction.

13. VPN Usage

The use of VPNs during API requests is strictly prohibited. Any attempts to bypass geographical restrictions or hide the origin of the request may result in suspension or termination of access to Lenditt Innovations and Technologies Private Limited services. Repeated violations may lead to permanent blocking of the User’s IP ranges or API access.

14. Modifications

Lenditt reserves the right to update or modify these Terms and Conditions at any time. Any such changes will be updated on the Website, and the updated Terms and Conditions will be effective immediately upon adoption. We encourage users to review this page periodically for any updates.  Continued use of the Website after such updates shall constitute deemed acceptance of the amended Terms.

15. Confidentiality

User agrees to maintain the confidentiality of all non-public information shared or accessed through the Website, including API credentials, system outputs, and other proprietary information. Lenditt shall also maintain confidentiality over User-submitted documents, except where disclosure is required under law or with User consent.

16. Termination and Suspension

Lenditt reserves the right to suspend or terminate your access to the Website or APIs in the event of misuse, breach of these Terms, non-compliance with policies, suspected fraudulent activity, unlawful conduct, non-payment, security concerns, or any activity that may compromise the security or integrity of the systems.

Upon termination, access is revoked; Data may be retained for compliance or deleted per our retention schedule; Outstanding fees remain payable.

You may terminate your account at any time by submitting a written request or through the platform settings.

17. Account, Subscription & Billing

  • Account Creation: Users must create an account by providing complete and accurate information and are responsible for maintaining the security of their login credentials. You agree to update your details if there is any change promptly.

  • Payment: Paid plans require payment in advance for the applicable billing cycle. All fees are non-refundable except where a refund is mandated under applicable law. You authorise the platform or its payment partners to process charges using the payment method you have provided.

  • Renewals: Subscriptions may automatically renew at the end of each billing period unless you cancel your plan before the renewal date. Continued use after renewal indicates your acceptance of the renewed term.

  • Overage / Excess Usage: If your API or feature usage exceeds the limits of your subscribed plan, additional charges may apply. Any overage fees will be calculated based on the platform’s then-current pricing and billed in the next billing cycle or as otherwise communicated.

18. Third-Party Services

The Website or APIs may integrate third-party tools, providers, or services. User acknowledges that such third-party services operate under their own terms, and Lenditt Innovations and Technologies Private Limited shall not be liable for any issues arising out of third-party integrations. The Services may integrate with or rely on third-party tools (OCR engines, analytics tools, cloud providers, verification services).

We are not responsible for:

(a) availability or performance of such third-party services;

(b) accuracy or legality of outputs from third-party providers;

(c) compliance by third-party providers with applicable laws.

Users must adhere to any applicable third-party terms.

19. Indemnity

User agree to defend, indemnify and hold harmless Lenditt and its subsidiaries, assigns, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors from and against any and all claims, liabilities, damages, losses, costs, or expenses arising out of (i) misuse of the Website or APIs, (ii) submission of documents without lawful consent, (iii) breach of these Terms, or (iv) violation of any third-party rights.

20. Service Levels

Unless otherwise agreed in an SLA, the Services are provided on a best-effort basis with no guaranteed uptime or performance commitments.

21. Force Majeure

Lenditt shall not be liable for any delay or failure in performance arising from events beyond its reasonable control, including but not limited to strike, natural disasters, cyberattacks, war, government actions, network outages.

22. Severability

In the event that any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the remaining provisions, which shall continue to remain valid, binding, and in full force and effect.

23. Notices

All notices to Lenditt Innovations and Technologies Private Limited shall be sent to its registered office or through the official support email as stated on the Website. Notices provided to Users shall be deemed effective when posted on the Website or sent to the registered email ID of the User.

24. Feedback

Any feedback or suggestions you provide may be used by us without restriction, attribution, or compensation.

25. Entire Agreement

These Terms, together with any amendments and all policies referenced herein or otherwise entered into by You with Lenditt in relation to the Service, constitute the entire agreement between You and Lenditt with respect to the Service.
